Return Of Cash (Allocation of original base cost - UK shareholders)

As set out in paragraph 1(i) of Part 9 of the Circular to Shareholders (Page 30), a Shareholder's original base cost in the Existing Ordinary Shares will be apportioned between the New Ordinary Shares and the B Shares by reference to their respective market values on the day on which they were first listed which were equal to 816.75p and 302.375p respectively. On the Reorganisation, for each 39 Existing Ordinary Shares held by a shareholder he or she received 25 New Ordinary Shares and 39 B Shares. Based on these values the tax base cost in the Existing Ordinary Shares is apportioned 63.3899% to the New Ordinary Shares received and 36.6101% to the B Shares received.

Pages 30 and 31 of the Circular to Shareholders describe in more detail the tax treatment of UK shareholders on the Reorganisation and the Return of Cash. The Circular to Shareholders can be found in the "General Meetings and Proxy Voting" sub-section of the "Shareholder Services" section of this website. Shareholders are advised to refer to their brokers/financial advisers for detailed advice on individual CGT calculations.
